THE BODYCON PARTICIPATION AGREEMENT
Organizer: Resolute Dame, LLC (dba The BodyCon), 1846 E Innovation Park Dr., Suite 100, Oro Valley, AZ 85755 (“Organizer”)
Event: The BodyCon (“Event”)
Event Dates: April 18-19, 2026
Event Location: Tucson Expo Center, 3750 E Irvington Road, Tucson, AZ 85714
Agreement to Terms
By completing this form and signing electronically below, the person completing this form acknowledges and agrees:
(a) they have read and understood this Participation Agreement in its entirety;
(b) they agree to be legally bound by its terms and conditions;
(c) they are either the Participant named herein or are legally authorized to bind the Participant to this Agreement;
(d) they accept full responsibility for their own actions and the actions, conduct, and compliance with this Agreement of any employees, contractors, agents, volunteers, guests, or other persons representing or accompanying them at the Event; and
(e) electronic completion and signature have the same legal effect as a handwritten signature.
1. Participation Type
1.1 Exhibitor – Participant who has purchased booth space only.
1.2 Sponsor – Participant who has purchased a sponsorship package, which includes booth space and additional promotional benefits. Sponsors are considered Exhibitors for purposes of this Agreement and are subject to all Exhibitor terms and conditions.
For purposes of this Agreement, the term “Participant” refers to either an Exhibitor or a Sponsor.
2. Participation Options & Fees
2.1 Participant will select from the available participation packages listed on the Event registration site.
2.2 Fees for each package are listed on the registration site and may include booth space, promotional benefits, and other deliverables as specified in the selected package.
2.3 All participation fees are payable according to the payment option chosen during online registration.
3. Payment & Refund Policy
3.1 All payments must be made in accordance with the selected payment schedule.
3.2 Cancellations made more than 60 days prior to the Event will receive a refund minus a 20% administrative fee. Cancellations made 60 days or less prior to the Event will forfeit all fees paid.
3.3 Failure to attend, participate, or make use of assigned space for any reason will be treated as a cancellation and subject to this refund policy.
3.4 If a Participant fails to make payments as agreed, Organizer reserves the right to cancel the Participant’s involvement without refund.
4. Booth & Space Usage (Exhibitors & Sponsors)
4.1 Booth size, location, and inclusions will be assigned by the Organizer and outlined in the selected package.
4.2 Booths may not be sublet, shared, or transferred without the prior written consent of the Organizer.
4.3 All booth displays must remain within assigned boundaries and must not obstruct or interfere with other participants.
5. Setup & Teardown (Exhibitors & Sponsors)
5.1 Setup will begin at 8:00 a.m. on December 6, 2025.
5.2 Teardown must be completed by 9:00 p.m. on December 7, 2025.
5.3 Early departure must be coordinated with Organizer.
6. Sponsorship Deliverables (Sponsors only)
6.1 Sponsorship benefits will be provided as outlined in the selected sponsorship package.
6.2 Participant is responsible for providing required artwork, logos, and promotional materials by the deadlines set by the Organizer. Failure to do so may result in reduced benefits without refund.
7. Compliance with Laws
7.1 Participant agrees to comply with all applicable Arizona state laws, local ordinances, health and safety regulations, and venue policies.
7.2 Participant is responsible for obtaining all necessary permits, licenses, and tax registrations for its participation.
8. Insurance & Liability
8.1 All Participants must carry general liability insurance with a minimum coverage of $1,000,000 per occurrence and must name Resolute Dame, LLC (dba The BodyCon) and The Tucson Expo Center as additional insureds.
8.2 Participant agrees to indemnify, defend, and hold harmless Resolute Dame, LLC, The BodyCon, The Tucson Expo Center, and their respective owners, staff, contractors, and agents from any claims, damages, losses, or expenses (including attorney fees) arising from or related to Participant’s participation in the Event.
9. Photography & Media Release
9.1 Participant grants Organizer the right to photograph, record, and use Participant’s name, likeness, booth, products, and promotional materials for Event-related marketing, without limitation and without additional compensation.
10. Code of Conduct
10.1 Participant agrees to act professionally and respectfully toward attendees, other participants, event staff, contractors, and venue personnel at all times.
10.2 Harassment, discrimination, verbal abuse, physical intimidation, unsafe behavior, or disruptive conduct by the Participant or by any employees, contractors, agents, volunteers, guests, or other persons representing or accompanying the Participant will result in immediate removal from the Event without refund.
10.3 Participant is responsible for ensuring that anyone representing or accompanying them complies fully with this Code of Conduct and with all other provisions of this Agreement.
11. Event Cancellation by Organizer
11.1 Organizer reserves the right to cancel, postpone, or reschedule the Event due to force majeure (including but not limited to natural disasters, acts of God, fire, flood, earthquake, severe weather, government regulations, pandemics, labor disputes, acts of terrorism, venue unavailability, or any cause beyond the Organizer’s reasonable control) or other unforeseen circumstances.
11.2 In the event of cancellation, postponement, or rescheduling due to force majeure, no refunds will be provided. All fees paid will be applied as a credit toward a rescheduled or future BodyCon event, at Organizer’s discretion.
11.3 If Organizer cancels the Event for reasons other than force majeure, Participant will receive a full refund of fees paid, less administrative fees as detailed in this Agreement, except where cancellation is due to Participant’s breach of this Agreement.
12. Severability
If any provision of this Agreement is determined to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remainder of this Agreement shall remain in full force and effect.
13. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions, agreements, or representations, whether oral or written. No changes or modifications shall be valid unless in writing and signed by both parties.
14. Governing Law & Dispute Resolution
14.1 This Agreement shall be governed by the laws of the State of Arizona.
14.2 Any disputes will first be submitted to mediation in Pima County, Arizona before litigation or arbitration.
15. Authority to Sign
The individual signing this Agreement represents and warrants that they are either (a) the Participant named in this Agreement, and personally responsible for compliance with all terms herein, or (b) duly authorized to execute this Agreement on behalf of the Participant and to bind the Participant to its terms.
16. Electronic Signature
This Agreement is enforceable under the Uniform Electronic Transactions Act (UETA) and the E‑SIGN Act. Electronic signatures have the same legal effect as handwritten signatures.
